1. Parties and scope
Service Provider: individual entrepreneur Viktoria Andreevna Bugaeva, INN 380129158561, OGRNIP 325030000042628. This draft covers clients purchasing services. Terms for referring clients in exchange for a fee are documented separately.
The Service Provider provides only the services expressly specified in the statement of work agreed by the parties: supplier sourcing, equipment selection, production arrangements, inspection or procurement support. Goods supply, agency services, carriage and customs clearance are included in the contract only if their respective terms are agreed separately.
2. Statement of work and contract formation
Before entering into the contract, the parties agree on the scope and deliverables of the services, stages, deadlines, price, payment and acceptance procedures, allocation of responsibilities and party details. The statement of work becomes an annex to the contract and references the accepted version of the terms.
This draft is not a public offer in effect. The contract is concluded after the party details have been completed and the agreed statement of work and terms have been signed by the parties' authorised representatives. Viewing the website, using the calculator and submitting the contact form do not constitute acceptance of an offer, an order for a paid service or consent to marketing messages.
3. Fees and expenses
The fee, currency, taxes, payment schedule and confirmed expenses are specified in the statement of work. Calculator prices illustrate a particular procurement example as of the stated date and do not determine the contract price.
Goods purchases, delivery, insurance, customs charges, certification and third-party services are accounted for separately unless the parties agree otherwise in writing. Additional expenses require the Partner's prior approval.
4. Performance and acceptance
The Partner provides accurate requirements, documents and information needed for the work. The Service Provider reports on progress and any circumstances affecting the agreed deliverable, deadline or price.
The deliverable is provided in the form specified in the statement of work. Before work begins, the parties set out the inspection procedure, the period for submitting reasoned objections and the procedure for correcting defects in the statement of work. Changes to requirements or scope are documented separately.
5. Liability and termination
The parties are liable for breaches of their obligations under applicable law and the agreed contract. A case study or preliminary estimate does not guarantee specific savings, an exchange rate, a shipping time or a decision by a public authority.
On termination, the parties determine the services actually performed, documented expenses and amounts to be refunded under the contract and the law. These terms do not limit the parties' mandatory statutory rights.
6. Confidentiality and data
Non-public technical, commercial and contractual information is used only to perform the agreed project. It may be shared with contractors only to the extent necessary, where appropriate grounds and confidentiality obligations are in place.
Personal data processing is governed by a separate policy and applicable law. Acceptance of commercial terms does not in itself constitute consent to personal data processing or transfer to foreign recipients.
7. Disputes and party details
The applicable law, procedure for submitting claims, response deadlines and competent court are specified in the final contract, taking account of the parties' status and legal requirements.
